These Terms of Service (the “Terms”) govern your access to and use of the websites, apps, products, features, and services provided by DMX Dance Company (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. Who We Are

2. Your Agreement

By using the Services, you confirm that you: (a) are at least 13 years old (or the minimum age required in your country), (b) have the legal capacity to enter into these Terms, and (c) will comply with all applicable laws and regulations. If you are under the age of 18, you must have a parent or legal guardian’s permission to use the Services

3. Accounts & Security

You are responsible for the activity on your account and for safeguarding your credentials. Notify us immediately of any unauthorized use or security breach.
We may take reasonable steps to verify your identity before granting access or making changes.

4. Your Content and License to DMX

You may post or upload content to the Services, including text, photos, videos, music, choreography, AI‑assisted works, and comments (collectively, “User Content”). You retain ownership of your User Content, but grant DMX a non‑exclusive, worldwide, royalty‑free, transferable, and sublicensable license to host, store, reproduce, adapt, publish, perform, display, and distribute your User Content solely to operate, improve, promote, and provide the Services and to create promotional materials for DMX (including showcasing classes, events, and community highlights).
You confirm that you have all necessary rights to grant this license, including synchronization/public performance permissions for any music or third‑party content you include. You can delete or request deletion of your User Content; however, reasonable copies may persist in backups for a limited time and content already shared or publicly cached may remain accessible.

5. Content Standards & Prohibited Conduct

You agree not to post or engage in activity that: – infringes intellectual property, publicity, or privacy
rights;

• is unlawful, defamatory, deceptive, hateful, harassing, or threatening;
• depicts or encourages self‑harm, violence, or illegal activity;
• includes sexual content involving minors or otherwise violates child safety laws;
• contains viruses, malware, automated scraping, or attempts to circumvent technical protections;
• manipulates engagement or interferes with the normal operation of the Services.
  We may remove or restrict content, suspend accounts, or report unlawful material to authorities at our
  discretion and consistent with applicable law.

6. Music, Video, and Intellectual Property

Music & Audio. You are responsible for obtaining any necessary rights (e.g., composition, sound recording, synchronization, public performance) before uploading or streaming music. If you use music libraries or platforms, ensure your license covers your intended use on DMX.
Third‑Party Rights. Only upload content you created or lawfully have permission to use. Obtain written permissions from recognizable individuals featured in your content where required by law.
DMCA / Copyright Complaints. If you believe content infringes your rights, send a notice to Support@dmxdancecompany.com with:
(1) identification of the copyrighted work;
(2) identification of the infringing material and its URL;
(3) contact information;
(4) a good‑faith statement; and
(5) a statement under penalty of perjury that you are authorized to act. We may remove content and, where appropriate, terminate repeat infringers.

7. AI‑Assisted Content & Automated Tools

User Responsibility. If you use AI tools to generate or edit content, you remain responsible for the content and for ensuring no rights are infringed and no deceptive or harmful material is posted.
Labeling. Where required by law or platform policy, you must clearly disclose AI‑generated or materially edited media, especially synthetic speech or realistic depictions of individuals.
DMX Use of AI. We may use automated systems (including AI) to support moderation, personalization, analytics, safety, and to improve the Services. We do not claim ownership over your content, but we may use aggregated or de‑identified data to improve our features.
No Deepfakes of Minors / Non‑Consensual Content. Strictly prohibited.

8. Payments, Subscriptions, and Refunds

We offer online classes and website subscriptions. By purchasing, you agree to the following: – Billing & Auto‑Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before renewal. You authorize recurring charges until you cancel.

• Pricing & Taxes. Prices may change; we will provide reasonable notice of material changes. You are responsible for taxes where applicable.
• Refunds. Unless otherwise stated at purchase or required by law, fees are non‑refundable. Certain jurisdictions grant cooling‑off or withdrawal rights; see Regional Terms below.
• Chargebacks. If you initiate a chargeback without first contacting us to resolve the issue, we may suspend or terminate your access to paid features.
• Third‑Party Processors. Payments are processed by third‑party providers; their terms and privacy policies apply in addition to ours.

9. Changes to the Services

We may modify, suspend, or discontinue the Services or any feature at any time, with or without notice, where permitted by law. If we make changes that materially affect your paid subscription, we will provide reasonable notice and effective dates.

10. Third‑Party Links and Services

The Services may link to or integrate with third‑party sites, libraries, or services. We do not control and are not responsible for third‑party content, terms, or policies.

11. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available”. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee uninterrupted or error‑free service, or that content will be preserved without loss.

12. Limitation of Liability

To the fullest extent permitted by law, DMX and its affiliates, officers, employees, agents, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill, arising from or related to your use of the Services. Our aggregate liability for all claims relating to the Services will not exceed the amounts you paid to DMX in the 12 months preceding the event giving rise to the claim.

13. Indemnification

You will indemnify, defend, and hold harmless DMX from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to: (a) your User Content; (b) your use of the Services; (c) your breach of these Terms; or (d) your violation of any law or third‑party right.

14. Termination

You may stop using the Services at any time. We may suspend or terminate your access if we believe you have violated these Terms or applicable law, or to protect the Services or users. Upon termination, Sections 4 and 6–16 will survive

15. Governing Law & Dispute Resolution

U.S. Users. These Terms and any dispute are governed by the laws of the State of Illinois, U.S.A., without regard to conflict‑of‑law rules.
Arbitration. Except where prohibited by law, disputes will be resolved by binding individual arbitration administered by a recognized arbitral institution under its rules. Class actions and class arbitrations are not permitted. Either party may bring an individual claim in small‑claims court.
Injunctive Relief. Either party may seek injunctive or equitable relief in court for IP or data‑security
matters.

16.Regional Terms

United Kingdom & European Union. Nothing in these Terms excludes or limits liability where unlawful under UK/EU law. Mandatory consumer rights remain unaffected. No mandatory arbitration or class action waiver applies to UK/EU consumers; disputes may be brought in your local courts, and local consumer protection law may apply in addition to Illinois law. Subscription withdrawal/cooling‑off rights apply as required by law.
Brazil. We comply with the LGPD. Consumers retain mandatory rights under Brazilian law. Where arbitration or waivers are not enforceable, local law governs those aspects. Cooling‑off rights for distance sales apply as required by law.

Your use of the Services is subject to our Privacy Policy, which explains how we collect and process personal data

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (e.g., by posting on the site or sending an email) with the effective date. Your continued use after the effective date constitutes acceptance.

We do not use AI to make decisions that produce legal or similarly significant effects without appropriate human oversight where required by law.

Where the GDPR/UK GDPR applies, we process personal data on the following legal bases:

We retain personal data for as long as necessary to provide the Services, comply with our legal obligations, resolve disputes, enforce our agreements, and for legitimate business purposes. Backup copies may persist for a limited time after deletion.

8. Security

We use administrative, technical, and physical safeguards to protect personal data. No method of
transmission over the Internet or electronic storage is 100% secure; we cannot guarantee absolute
security.

9. Children’s Privacy

The Services are not directed to children under 13. We do not knowingly collect personal information
from children under 13. If you are a parent or guardian and believe your child has provided personal
data, contact us to request deletion.

10. Region‑Specific Disclosures

California (U.S.). If you are a California resident, you have rights under the CCPA/CPRA, including the
right to know, delete, correct, and opt out of certain data sharing. We do not sell personal information.
